Please read these terms before using our website or engaging any of our services.
1. Definitions
- "Sumapaz" / "We" / "Us" — the advisory firm operating at Carrera 23 #62-40, Manizales, Caldas, Colombia.
- "Services" — the advisory services described on this website: Field Read, Season Companion, and Value Chain Study.
- "Client" / "You" — any individual or organisation that engages our services or uses our website.
- "Agreement" — these Terms together with any specific engagement agreement signed between the parties.
- "Content" — written summaries, roadmaps, assessments, and other materials produced during an engagement.
2. Acceptance of Terms
By submitting an enquiry, entering into an engagement, or using this website, you agree to these Terms. Our services are for persons 18 years of age or older with legal capacity to enter into contracts under Colombian law. If you are acting on behalf of an organisation, you confirm that you have authority to bind that organisation.
3. Services
We provide business advisory services to clients in the agribusiness and coffee sectors, primarily in Colombia. Our three core services are described on the Solutions page of this website. Service availability may vary by region or season, and we reserve the right to decline engagements at our discretion.
The scope of each engagement is agreed in writing before work begins. Any changes to scope during an engagement require written agreement from both parties before additional work proceeds.
4. Client Responsibilities
- Provide accurate information relevant to the engagement
- Make relevant personnel or data available as agreed
- Respond to requests within a reasonable timeframe to avoid delays
- Not use our website for any unlawful purpose or in any way that could harm our operations
5. Intellectual Property
The content produced during an engagement (summaries, roadmaps, assessments) is delivered to the client for their own use. The client may not reproduce, distribute, or publish these materials externally without our prior written consent.
The Sumapaz name, logo, and all website content remain our intellectual property. Nothing in these Terms grants any rights to our brand or proprietary materials.
6. Payment Terms
Service fees are stated in Colombian Pesos (COP) and are as published on our website at the time of engagement. Payment arrangements (timing, method) are agreed in the engagement confirmation. Fees are due as specified; delayed payment may result in paused service delivery.
Cancellations: Cancellation of a scheduled session with less than 48 hours notice may result in a partial charge. Full refunds are available if we cancel due to our own scheduling conflicts. No refund is available once a written deliverable has been sent.
7. Confidentiality
Both parties agree to treat information shared during an engagement as confidential and not to disclose it to third parties without prior written consent. This obligation survives termination of the engagement for a period of three years. Our obligations are documented in a separate confidentiality note provided at the start of each engagement.
8. Disclaimers
Our advisory services reflect considered professional opinion based on information available at the time. We do not warrant specific business outcomes. Agricultural operations are subject to factors outside any adviser's control — weather, market movements, regulatory changes, and others — and our recommendations are made with that understood.
Our website and its content are provided for informational purposes. We make reasonable efforts to keep information current but do not warrant that it is complete or error-free at all times.
9. Limitation of Liability
To the extent permitted by Colombian law, our liability for any claim arising from our services is limited to the fee paid for the specific engagement in which the issue arose. We are not liable for indirect, incidental, or consequential losses. Force majeure events — including natural disasters, regulatory actions, or circumstances beyond reasonable control — relieve us of obligations for the duration of such events.
10. Termination
Either party may terminate an engagement with reasonable written notice. If we terminate for reasons other than client breach, we will refund a proportionate amount of any pre-paid fee. If the client terminates, payment is due for all work completed to that point. Sections 5, 7, 8, 9, and 11 survive termination.
11. Dispute Resolution
These Terms are governed by the laws of Colombia. We prefer to resolve any dispute informally first — contact us at [email protected] and we will respond within ten working days with a view to reaching a fair resolution.
If informal resolution fails, disputes shall be submitted to the courts of Manizales, Caldas, Colombia, which shall have exclusive jurisdiction.
12. General Provisions
- Entire agreement: These Terms, together with any signed engagement document, constitute the entire agreement between the parties.
- Severability: If any provision is found invalid, the remainder continues in force.
- Waiver: Failure to enforce any provision does not waive the right to enforce it subsequently.
- Assignment: Clients may not assign their rights under these Terms without our written consent.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be noted on this page with a revised date. Continued use of the website or our services after changes takes effect constitutes acceptance.
